Renting a Shop or Office in Chennai: Deposit, Lock-in, GST and the Lease Agreement

By Jumbo Realty · 18 October 2026 · 7 min read

Renting a shop, office or showroom isn't like renting a flat. The deposit is bigger, the agreement runs longer, and clauses like lock-in and escalation can cost you lakhs if you don't read them closely. This guide covers what Chennai tenants should understand, and negotiate, before signing.

1. Know exactly what space you need

  • Carpet vs built-up area: commercial rent is often quoted on built-up or super built-up area. Ask for the carpet area too, so you can compare spaces fairly.
  • Frontage and visibility: for retail, a few extra feet of road frontage can matter more than extra floor area.
  • Parking and loading: check customer parking, and for warehouses, truck access and turning space.
  • Power load: confirm the sanctioned electrical load matches what your business needs. Upgrades take time.
  • Permitted use: make sure the building's approved use allows your business, especially for restaurants, clinics and schools.

2. Security deposit

Commercial deposits in Chennai are typically several months' rent, and negotiable. Get the deposit amount, the refund timeline and the deductions allowed (unpaid rent, damage beyond normal wear) written into the agreement. Pay by bank transfer, never in cash, so there's a record.

3. Lock-in period

A lock-in is the period during which neither side can end the lease, or can only do so by paying rent for the remaining lock-in months. Owners want long lock-ins; tenants want short ones. For a new business, a shorter lock-in limits your risk if the location doesn't work out.

4. Rent escalation

Most commercial leases increase rent at a fixed rate, either every year or every few years. Over a long lease, the escalation rate matters as much as the starting rent. Work out what you'll be paying in year three or five, not just in month one.

5. GST and TDS on commercial rent

  • GST: renting commercial property is a taxable service. If the owner is GST-registered, GST is charged on the rent, and a GST-registered tenant can usually claim input tax credit on it. Agree in writing whether the quoted rent includes or excludes GST.
  • TDS: businesses paying rent above the income-tax threshold must deduct TDS before paying the owner. The threshold and rate change with Budgets, so confirm the current figures with your CA.

6. Fit-outs, maintenance and who pays what

  • Rent-free fit-out period: for bare-shell spaces, ask for a rent-free period while you complete interiors. One to two months is a common ask.
  • Maintenance charges: in complexes, clarify common area maintenance (CAM) and who pays property tax.
  • Repairs: structural repairs are usually the owner's responsibility; day-to-day repairs are usually the tenant's. Write it down.
  • Restoration: agree what condition the space must be returned in, so your deposit isn't withheld over fit-out removal.

7. Register the lease

Under the Registration Act, leases of more than 11 months must be registered at the Sub-Registrar Office, with stamp duty and a registration fee paid. In Tamil Nadu, tenancy agreements must also be registered with the Rent Authority on the state tenancy portal (tenancy.tn.gov.in). Stamp duty and registration fees depend on the lease type and the total rent and deposit, so check the current rates on TNREGINET before you budget.

A registered lease protects both sides: the tenant's right to stay for the agreed term, and the owner's right to rent and possession at the end.
