In short: UDS (undivided share of land) is the part of the project's land that legally belongs to your flat. It is not marked out on the ground, but it is written into your sale deed. Since 1 December 2023, a new flat in Tamil Nadu is registered through one sale deed covering both the UDS and the flat, with stamp duty on a single composite value.
What UDS means
When you buy an apartment, you buy two things: the flat itself, and a proportionate share of the land the building stands on. That share is your undivided share of land (UDS). It is "undivided" because no one owns a separate, fenced-off piece; all owners together own the whole plot, each in proportion to their share.
UDS matters because land is the part of the property that lasts. If the building is ever redeveloped, each owner's share of the new project usually depends on their share of the land.
How UDS is calculated
The usual method, which the Madras High Court applied in the Abbotsbury case (as reported by TaxGuru), is:
UDS of your flat = (total land area ÷ total built-up area of all flats) × built-up area of your flat
Example: a project on 24,000 sq.ft of land has 60,000 sq.ft of built-up area. A 1,200 sq.ft flat gets 24,000 ÷ 60,000 × 1,200 = 480 sq.ft of UDS, or 40% of its built-up area.
Developers often quote UDS as a percentage. On listings we carry, the developers' figures range widely, for example 26% (NCC Urban Ivy Towers), 28% (NCC Urban Signature Towers), 35% (ATH Meadows) and 36% (Rainbow Chetna). A taller building on the same land gives each flat a smaller UDS.
When UDS goes wrong
In the Abbotsbury case, flat owners in a 77-flat project in Alwarpet went to court against the builder, Ramaniyam Real Estate. TaxGuru reported that the division bench found the buyers had been given UDS using an incorrect formula, and ordered the builder to execute rectification deeds conveying the correct UDS to each owner, with owners bearing the stamp duty on those deeds.
How a new flat is registered in Tamil Nadu now
Until late 2023, buyers of new flats usually registered two documents: a sale deed for the UDS (7% stamp duty on the land's value) and a construction agreement with the builder (1% stamp duty on construction cost).
Under G.O.(Ms.) No. 131, from 1 December 2023, the first sale of a flat is registered through one sale deed that describes both the UDS and the super built-up area. Duty is charged on a composite value of land and building fixed by the Valuation Committee. The law firm JSA lists the rates as:
| Composite value of the flat | Stamp duty | Transfer duty | Registration fee | Total |
|---|---|---|---|---|
| Below ₹50 lakh | 2.86% | 1.144% | 2% | 6% |
| ₹50 lakh to ₹3 crore | 3.575% | 1.43% | 2% | 7% |
| Above ₹3 crore | 5% | 2% | 2% | 9% |
These rates apply only to the first sale of a flat. Resales are registered at the standard rates. Our stamp duty and registration charges guide covers those.
Already registered a construction agreement? The 2025 set-off
Some buyers registered a construction agreement under the old system and then had to register a composite sale deed as well. G.O. Ms. No. 166 dated 19 December 2025 provides for setting off the stamp duty and registration fee already paid on the construction agreement against what is due on the first-sale deed. To claim it, take the registered construction agreement and proof of the earlier payment to the sub-registrar office when you register the sale deed.
What to check before you buy
- Get the UDS in writing, in sq.ft, in the sale agreement and the draft sale deed. Check that both show the same figure.
- Do the maths yourself. Ask for the total land area and total built-up area of the project, and check the developer's UDS against the formula above.
- Ask about future phases. If the developer can add towers or floors on the same land, every owner's share shrinks. The approved plan and the agreement should say what will be built.
- Check the land title of the whole plot: patta, EC and parent documents. See our land documents checklist.
- Check the RERA registration, which lists the project's land area. See how to check TNRERA registration.
- For new flats, expect online registration. See our STAR 3.0 guide, and after registration, check your patta.
